Form FS-05 · State fee files · Not a government filing
Look up a state's filing fee and recurring charges, then open the calculator to plan a formation scenario. The directory covers 51 of 51 US jurisdictions in our fee ledger. Source dates and confidence appear beside each entry.
Filing and recurring fees, A to Z
These are listed state charges, not a complete formation budget. Agent and service costs, variable taxes, newspaper publication and other unlisted charges can be additional. A zero or absent main recurring charge does not mean there are no filing duties or taxes.
How to read these fees
The calculator models annual charges once per selected year, biennial charges in years 1, 3 and 5, and one-time charges once. These are formation scenarios, not dated payment schedules. Where listed, a different charge when filed with formation is shown alongside its later-filing amount. Check the reviewed files for state caveats.
High confidence means directly verified. Medium confidence means sourced with remaining verification limits. Each date records the source check, not a guarantee that the fee is unchanged today. Entries pending verification show no figures.

- Franchise Tax / Public Information Report
- $0 · each year
Texas pairs a formation filing with an annual franchise-tax and public-information-report cycle. The projected recurring line comes directly from the verified ledger for the current reporting cycle. The reporting obligation exists regardless of whether a variable tax is due, and revenue above the threshold can create a charge that this fixed-fee model cannot calculate.

- Annual Report License Tax
- $60 · each year
Wyoming LLC costs start with the formation filing and continue with an annual report and license tax. The projections use the minimum annual charge. Your actual license tax can be higher because Wyoming calculates it from assets located and employed in the state, subject to that minimum. Check the asset calculation before treating the estimate as your budget.

Wyoming
Wyoming LLC costs start with the formation filing and continue with an annual report and license tax. The projections use the minimum annual charge. Your actual license tax can be higher because Wyoming calculates it from assets located and employed in the state, subject to that minimum. Check the asset calculation before treating the estimate as your budget.
- DE
Delaware
Delaware LLC costs start with the formation filing and continue with a flat annual LLC tax. LLCs pay that tax without filing an annual report. The figures below separate the initial filing from recurring state charges so you can compare the cost of keeping the company open across one, three, and five years.
New Mexico's verified record has a formation filing and no annual or biennial Secretary of State report for an LLC. That produces a flat state-fee projection across the supported horizons. This no-report status is limited to the Secretary of State recurring line and is not evidence that every other compliance obligation is absent.
- FL
Florida
Florida's formation record includes the filing and the mandatory registered-agent designation component charged by the state. An annual report then supplies the recurring line in each projection. These source-backed state charges define the baseline, while the research does not supply a commercial registered-agent estimate for inclusion.
- TX
Texas
Texas pairs a formation filing with an annual franchise-tax and public-information-report cycle. The projected recurring line comes directly from the verified ledger for the current reporting cycle. The reporting obligation exists regardless of whether a variable tax is due, and revenue above the threshold can create a charge that this fixed-fee model cannot calculate.
California LLC costs include the formation filing, an annual Franchise Tax Board tax and a Statement of Information. The statement is due within 90 days of registration and every two years afterward. The projections include these fixed state charges, but California income can trigger an additional LLC fee that is excluded from the totals.
- NY
New York
New York combines a formation filing with a biennial statement. The standard projection also includes the one-time Certificate of Publication filing fee. Most LLCs must publish in two newspapers for six consecutive weeks and then file the certificate. Newspaper charges vary and are excluded from the projection; the certificate fee does not pay for those advertisements.
North Carolina's official fee page supports the formation filing and a flat annual report amount, which drive the state-only projections. The source does not present separate paper and online base amounts. Read the modeled figures narrowly and do not add convenience charges that are not directly verified in the ledger.
- IL
Illinois
Illinois has a formation filing and an annual report in the ledger, but the row carries medium confidence because the official source could not be fetched directly during verification. The recorded amounts were traced through indexed official material. That distinction remains explicit so the record is not presented as directly verified.
Pennsylvania replaced its decennial report cycle with an annual report requirement beginning in calendar year 2025. The formation filing and recurring report now produce a conventional state-only projection across one, three, and five years. The regime change matters because the filing rhythm in effect before 2025 is no longer current.
