Delaware LLC costs and state fees
Delaware LLC costs start with the formation filing and continue with a flat annual LLC tax. LLCs pay that tax without filing an annual report. The figures below separate the initial filing from recurring state charges so you can compare the cost of keeping the company open across one, three, and five years.
The cost answer
What does a Delaware LLC cost?
The filing fee and annual LLC tax are separate state charges. Budget separately for paid registered-agent services.
- State formation filing
- $110
- Annual LLC tax
- $400
These are state charges. A formation service, commercial registered agent, federal or home-country tax work, and conditional charges add to your budget.
When are the recurring filings due?
The annual LLC tax is due June 1 for the prior year. The current rate applies from tax year 2026, normally payable in 2027. Cancellation can make it due earlier. LLCs do not file a Delaware annual report.
Does the filing fee cover a registered agent?
No. Delaware requires a registered office and agent. An eligible owner or entity may satisfy that requirement; hiring a commercial service is a separate purchase. Ask for the service's renewal price before paying.
